Corporate Finance / Mergers & Acquisitions
With 22 years of working experience in Corporate Finance, we have been originating and executing, from start to end, several M&A processes, including evaluating strategic fit and value-added, coaching CEOs and CFOs, preparing information memoranda, negotiating term-sheets, developing complex financial models, leading due diligence processes including coordination with legal, accounting and tax advisors, discuss and lead SPAs, in addition to post-closing integration processes, sometimes working as interim CFOs.
Our clients are mostly family owned entrepreneurial businesses, where quite often we provide additional coaching. Typical transactions sizes we have been focusing are between £5m and £100m, although in several cases they have reached as much as £600m (our “elephant” deals, involving large corporations).
Our business acumen and proactivity help us anticipate or even trigger M&A transactions, either not yet perceived or at that time without a clear structure/pathway to our clients. As a result, more than 95% of our advisory mandates are obtained without being part of a competitive process. This is a true recognition of the value we bring to our clients even before the potential transaction has started.
As a small M&A boutique, we select carefully the potential deals we can truly deliver a distinct value to our clients, with our senior direct involvement from start to end. As a result, we usually don’t pursue quantity of deals, but those we could develop and keep a long-standing sustainable relationship, building up our reputation and networking.
After 22 years of Corporate Finance experience, we can say we are sector agnostic, providing services to several different industries, although our strengths and competitive advantage sectors rely mostly in Telecommunications, Media and Technology, power generation and distribution utilities (renewable energy and thermal power plants, centralised and decentralised), infrastructure (highway privatisations, ports, etc), education and retail.
Structured and Project Finance
Our Structured and Project Finance opportunities are developed since their inception, where we provide a comprehensive and holistic view of all operational and financial aspects of the projects.
To greenfield projects, we work closely to address all the agreements necessary to establish a successful and bankable project: suppliers, off-takers (e.g. PPAs), EPCs, equity investors, and last, debt financing, through multilateral agencies or project bonds.
Power generation projects, including renewable energy (small hydro powerplants, wind farm, solar PV, and biomass), centralised and decentralised, in addition to dual-fuel thermal powerplants, are typical greenfield projects our clients are benefiting most of our expertise and value.
Highway privatisations have been also part of our value in project finance delivered to our clients.
Development of power generation projects
Leveraging our more than eighteen years of experience in developing, structuring and implementing power generation projects, and together with our business partners, we sometimes envision opportunities and raise seed money to develop and structure projects to be further sold to larger organisations, which are seeking projects ready to participate in public power generation auctions.
Debt re-profiling
Providing independent advisory for debt re-profiling services is crucial to add value to our clients, since to succeed it is necessary to firmly renegotiate debt facilities with creditors, suppliers, and their corresponding clients, ensuring a smooth and sustainable transition to a reshaped business.
Debt and equity (IPO) independent advisory
Independent advisory is also critical to companies in the IPO process, due to the potential conflict of interest/agency theory underwriters may face along the process, especially during the valuation and allocation/book building.
